Private Members Association

Nexera is a Private Members Association — a private, contractual relationship between the Association and each approved member. Below is what that means, written plainly.

What it is

A small, deliberate group bound by a written agreement.

A Private Members Association — often shortened to PMA — is a long-established legal structure in the United States. It is a group of people who agree, in writing, to a set of shared purposes and rules, and who associate privately for the benefit of the membership.

The legal foundation is the constitutional Right of Association, recognized in cases such as NAACP v. Alabama (1958). Activities conducted within the association are private, contractual matters between the members. The association is not a public marketplace.

In Nexera's case, this means three things in practice:

  1. Access is by application. Anyone interested in joining submits an application. We review every application and approve those who are a fit.
  2. Membership is documented. Each approved member signs a short Member Agreement that defines the relationship — what we provide, what the member commits to, how disputes are handled.
  3. The interior of the Association is private. What we offer inside the membership is reserved for members. It is not promoted publicly and is not part of any open marketplace.
Four points

Worth understanding before you apply.

By application only

Every member is reviewed and approved before access. No anonymous browsing, no walk-in traffic. The relationship begins with mutual acknowledgment on both sides.

A private contract

Membership is grounded in a written agreement between the Association and each member. The agreement defines what we offer, what members commit to, and the terms of the relationship.

Protected by association

Private Members Associations operate under the constitutional Right of Association. Activities conducted within the association are protected from outside interference under longstanding US legal precedent.

Membership is free

There is no fee to apply or maintain membership. We interview every applicant before approval — fit goes both ways. The application is short. The interview is brief.

Why we operate this way

Quality of relationship is the entire product.

We could operate as an open public business. Many similar groups do. The trade-off is that the relationship between the organization and the participant becomes thin — a transaction, repeated.

The PMA structure is the alternative. It begins with a deliberate acknowledgment on both sides — the Association acknowledges the member, the member acknowledges the Association — and it sustains that relationship over time. It is the same model that private clubs, fraternal orders, and member-owned cooperatives have used in the United States for over a century.

In plain language: we want to know who our members are, and we want our members to know us. The structure makes that possible.

The path

From application to member.

  1. Apply. Five short steps. Personal details, how you heard about us, a brief background, an optional interview, and the Member Agreement acknowledgment.
  2. Reviewed. Most applications are reviewed within 48 hours. We typically invite you to a brief 15-minute call before a final decision.
  3. Approved. Once approved, you receive your member sign-in details and full access to the interior of the Association. Members are welcomed personally.
